Position Title Principal Transactions Due Diligence Consultant

AECOM is seeking a motivated EHS due diligence consultant to technically manage and deliver national and international due diligence projects across a wide range of sectors including oil and gas, chemicals, manufacturing, food and drink and healthcare, and to work closely with AECOM’s high caliber clients to meet challenging deal timescales and expectations. This is a senior role in a multi-award-winning, growing team and brings excellent opportunities for technical and commercial career development.
The successful candidate will be able to demonstrate a clear understanding of the international due diligence process, be fully conversant with UK EHS legislation and due diligence concepts, and will be have a detailed working knowledge of industrial manufacturing processes and the ability to look beyond the obvious “here and now” issues to identify potential future scenarios which may impact a client’s investment decision. We are looking for an ambitious team player with strong development skills who wishes to assist in the development of innovative and cost effective solutions in an environment that is collaborative, stimulating and demanding. AECOM’s award-winning transaction advisory team has over thirty years’ experience in undertaking environmental, health and safety, technical, engineering and social due diligence assessments in support of both single and multi-asset global portfolio deals of up to £10billion value across a wide range of sectors including food and beverage, large-scale manufacturing, oil and gas, chemicals, pharmaceutical, petrochemicals, aviation, waste management, automotive and mining. In the last six years, AECOM has provided due diligence support to over £50 billion-worth of transactions.
We are experienced in providing vendor and purchaser due diligence support during rapid turnaround transactions. We are adept at interrogating and challenging financial reports and CAPEX plans to identify potential material issues and liabilities. Our reports are tailored to suit the needs of our clients’ deal teams and their advisors. We provide support as necessary during deal negotiations helping the deal parties to understand and manage potential liabilities, compliance issues and future investment requirements and efficiency improvements, facilitating quick and successful completion of the deal for both parties. We are now looking to enhance and grow this team with individuals with a sound technical background and commercial awareness in due diligence that share our enthusiasm and determination to support our expanding workload.
Our due diligence clients are typically from the private sector, and include some of Europe’s leading private equities and industrials including EQT, CVC, BP, Shell, Safetykleen, Alstom, CRH, Brenntag, EoN, Honeywell, SCA and Tetra Pak.
Whilst the majority of our due diligence projects remain confidential, a selection of our challenging recent projects includes:
Purchaser Technical and Operational Due Diligence of nine European Leisure Parks to demonstrate evidence of safety, maintenance and appropriate condition of mission-critical equipment, essential for safe operation of the business;
Purchaser Technical, Environmental, Health & Safety Purchaser Due Diligence of a European Hazardous Waste Management Business including multiple hazardous waste incinerators and hazardous waste landfills across several European countries;
Purchaser Technical, Operational and Environmental and Safety Due Diligence Assessment of a CHP generation unit manufacturer, supplier and operator (over 5OOMW installed) including extra-European facilities;
AECOM provided Vendor Environmental Due Diligence support to Shell for the disposal of a country-wide portfolio of >800 petrol retail stations, depots and associated infrastructure, utilising financial liability modelling to estimate potential liabilities and trigger scenarios across the portfolio.
Purchaser Environmental, Safety And Technical Due Diligence of a coastal UK oil terminal and storage facility (c.10ha footprint, 195 tanks with a total capacity of 134,000m3, 9.3m draft jetty).
The appropriate level of technical expertise is required in order that the Job / Project Accountabilities listed below can be carried out to the necessary standard:
Represent AECOM as the primary technical contact for EHS and Technical due diligence contracts and projects, and coordinate with other organisations as necessary;
Be the primary author on due diligence tender and project documents;
Manage AECOM’s potential liabilities and exposure through liaison with senior client representatives (due diligence deal teams, corporate directors etc.) to scope proposals, present progress updates and discuss project results;
Lead and coordinate and/or being a key team member in delivering EHS due diligence assessments including data room reviews, due diligence team coordination (European and global offices), site assessments (international travel may be required), commercially focused succinct reporting, participating in Q&A sessions with clients or opposite side deal team, reviewing and managing contracts etc.);
Actively lead, support and strongly contribute to AECOM business development programmes by identifying and securing business development opportunities and building repeat/long-term client relationshipsReporting to the Transactions team leader you will also interface directly with other team members, from graduate to Directors and with other complementary internal teams;
Strong desire to innovate and continuously improve AECOM’s business by undertaking ongoing critical reviews of our approach, products and market to identify opportunities for improvement;
Work collaboratively and iteratively within a multi-disciplinary team;
Establish strong working relationships with other internal teams, particularly within AECOM’s engineering division.
Prior experience playing a leading role in delivering international EHS due diligence projects;
Fully conversant in the mechanics and principles of business transactions;
Strong experience of working across a variety of industrial facilities and sectors (e.g. oil & gas, power, chemicals, heavy engineering, food & drink), working in industry, as a consultant or a regulator;
Proven experience in successfully managing and developing client relationships;
Strong personal development skills and have the ability to develop and manage the work of others if and when required;
Excellent communication, presentation and interpersonal skills, including the ability to produce accurate, succinct reports and professionally present findings and recommendations to the client or regulator.
Ability to multi-task, maintain flexibility, travel, and work independently with minimal supervision
Batchelor and post-graduate qualifications in law, environmental law, chemistry, engineering or environmental sciences
Ideally NEBOSH General Certificate or higher qualification in health and safety.
